Terms and Conditions

1. General Provisions

These Terms and Conditions govern access, browsing and use of the website of UNIQ Stone Design, S.A. de C.V. ("UNIQ"), as well as requests for information, quotes, contact, showroom visits, projects, fabrication, delivery and installation of pieces, surfaces, furniture and stone work in natural stone, engineered stone or other materials offered by UNIQ.

By accessing, browsing or using this website, and by submitting contact forms, requesting information or quotes, visiting the showroom, contracting a project or making any payment to UNIQ, the user accepts these Terms and Conditions and the corresponding Privacy Policy.

If you do not agree with these Terms and Conditions, you must refrain from using this website, submitting requests, contracting projects or making payments related to UNIQ's products or services.

2. Purpose of the Website

The UNIQ website is intended to present general information about the company, its philosophy, materials, finishes, projects, pieces, services, showroom and contact details. UNIQ specializes in the design, fabrication, supply and installation of pieces and projects in natural stone, engineered stone and other materials, including but not limited to dining tables, coffee tables, side tables, bars, kitchens, islands, outdoor grills, terraces, coffee stations, nightstands, credenzas, consoles, walls, floors, façades, cladding, surfaces and any custom project.

Website content is informational, commercial and referential in nature. Published information does not constitute a binding offer, nor does it guarantee availability of materials, prices, measurements, delivery times or specific conditions, unless a formal quote has been issued by UNIQ and accepted by the client in accordance with these Terms and Conditions.

3. Quotes and Project Acceptance

All quotes issued by UNIQ will have the validity, scope, price, materials, measurements, finishes, estimated timelines, payment conditions and other terms expressly stated therein. Payment of any deposit by the client implies acceptance of the corresponding quote, project scope, materials, measurements, specifications, payment conditions and these Terms and Conditions.

Once the deposit is paid, the project will be considered approved by the client and UNIQ may begin acquiring materials, planning, fabrication, coordination, scheduling and other activities necessary for its execution. Any modification after the deposit is paid will be subject to review and approval by UNIQ, and may result in adjustments to price, delivery times, scope, materials, fabrication, installation or commercial conditions.

4. Custom Products and Projects

The client acknowledges that most products, pieces and projects carried out by UNIQ are custom-made, according to materials, dimensions, colors, veining, finishes, bases, structures, designs, cuts, thicknesses and specifications selected or approved specifically for each project. Therefore, once the deposit is paid, cancellations, returns or changes attributable to the client are not accepted.

This is without prejudice to any rights the client may have under applicable law for defects directly attributable to UNIQ, hidden defects or verifiable breaches of the scope expressly agreed upon in the quote.

5. Natural Materials, Variations and Samples

The client acknowledges that natural stone, including quartzite, marble, granite and other stone materials, may present variations inherent to its natural origin, including changes in tone, veining, porosity, texture, natural fissures, crystals, color variations, movement, mineral stains, fillings, repairs, changes in gloss and differences between slabs.

Samples, photographs, renders, reference images, catalogs or digital visualizations are illustrative only and may vary from the final material. Once the material is approved by the client, UNIQ will not be responsible for natural variations inherent to the selected material.

6. Measurements, Specifications and Client Responsibility

The client must provide clear, complete and correct information for the preparation of any quote, including measurements, project location, access, property conditions, existing installations, construction restrictions, plans, renders, references, photographs and any other relevant information.

The client will be responsible for timely notification of any changes in construction, modifications to furniture, walls, levels, structures, installations or any condition that may affect fabrication, delivery or installation. Errors, omissions or changes in information provided by the client or third parties will not be UNIQ's responsibility and may generate additional costs.

7. Bases, Structures and Third-Party Elements

In projects where UNIQ fabricates only the surface, stone piece, cladding or stone element, and the base, structure, furniture, carpentry, metalwork, wall or support is provided by the client or third parties, UNIQ will not be responsible for failures, unevenness, deformations, lack of resistance, movements or defects in those elements.

Should UNIQ detect that a surface, base or area is not in adequate conditions to receive installation, it may suspend, reschedule or condition the installation, and additional costs may arise.

8. Payments, Deposits and Balances

Payment conditions will be those specified in the corresponding quote. Unless otherwise expressly agreed in writing, projects will require the payment of a deposit to initiate the fabrication process, material acquisition, scheduling or execution.

UNIQ may suspend fabrication, delivery, installation or any project progress in the event of non-payment, payment delays, failure to confirm specifications, lack of access to the property or breach of any agreed condition. Prices may vary when there are changes to scope, materials or conditions not originally contemplated in the quote.

9. Delivery Times

Delivery, fabrication and installation times are 4–6 weeks, but constitute estimates and may vary due to internal or external causes, including material availability, cutting processes, finishes, fabrication, weather, logistics, access, construction conditions, client-requested changes, third-party delays, force majeure or acts of God.

10. Delivery, Access and Handling

Delivery and installation will be carried out at the address, space and conditions indicated by the client. Unless otherwise expressly stated in the quote, delivery will be to ground floor or up to the point that access permits safely.

The client must inform UNIQ before paying the deposit if delivery or installation requires carrying pieces up or down stairs, above ground floor, through narrow access points, or requires special handling or additional equipment. UNIQ does not perform crane, forklift or specialized equipment operations, unless expressly agreed in writing.

11. Rescheduling and Client Absence

The client must be present, or designate an authorized person, at the agreed date and time for delivery, review, installation or handling. In the event of absence, denied access or inadequate conditions due to causes beyond UNIQ's control, an additional charge may arise for rescheduling, freight, handling, storage or lost time.

12. Freight and Client-Designated Carriers

When freight, transfer or transport is contracted directly by the client, UNIQ will not be responsible for damages, losses, delays, mishandling or any damage that occurs once the product has been delivered to the carrier or person designated by the client.

13. Installation, Review and Acceptance

Upon completion of installation, the client or authorized person must review the piece, project, finish and installation. Once installation is complete and the product is received without written observations at the time of delivery, it will be considered received and fully accepted by the client, who must pay any remaining balance. Title does not transfer to the client until full payment is received.

14. Changes, Cancellations and Returns

Because UNIQ's pieces and projects are custom-made, changes, cancellations or returns are not accepted once the deposit is paid, unless expressly authorized in writing by UNIQ. In the event of an authorized cancellation, UNIQ may retain or charge costs incurred up to that point, including materials acquired, cuts made, labor, design, freight, handling, administrative expenses and any other costs generated.

15. Warranty

UNIQ warrants that products, pieces and projects fabricated directly by UNIQ will be delivered in accordance with the main specifications set forth in the quote accepted by the client. The applicable warranty period is one (1) year and covers defects directly attributable to UNIQ in fabrication or installation.

The warranty does not cover damage caused by misuse, impacts, excessive heat, chemicals, abrasives, lack of maintenance, third-party intervention, structural movements, inadequate bases, natural wear or variations inherent to natural stone. To exercise any warranty, the client must notify UNIQ in writing with a description of the defect and photographic evidence.

16. Care and Maintenance

The client acknowledges that stone and other materials require appropriate care and maintenance. The client must avoid impacts, dragging, aggressive chemicals, abrasive products, exposure to acids, extreme heat or excessive humidity. The client will be responsible for the use, cleaning, maintenance and preservation of the product once delivered or installed.

17. Photography, Portfolio and Commercial Use of Projects

UNIQ may take photographs, videos or records of fabrication processes, installation and the final result of projects for portfolio, social media, website, commercial presentations, advertising or promotional purposes. UNIQ will endeavor not to disclose private client information. If the client does not wish their project to be used for portfolio or promotional purposes, they must notify UNIQ in writing before installation or delivery.

18. Available Pieces and Stock Items

Should UNIQ enable a section of available pieces, online store, catalog or stock products, availability, pricing and sale conditions will be subject to the information published for each product. Publication of an available piece does not guarantee it remains in stock, as it may be subject to prior sale, reservation or confirmation by UNIQ.

19. Information Published on the Website

UNIQ endeavors to keep the information on its website accurate, clear and up to date. However, the website may contain errors, omissions, color differences, visual variations or information subject to change. Photographs, renders, images, materials and projects published are illustrative and may vary from the final result of each project.

20. Intellectual Property

All content on the website, including trademarks, trade names, logos, photographs, videos, renders, texts, designs, projects, images, catalogs and other elements, is owned by UNIQ or used with authorization from its rights holders. Copying, reproducing, distributing, modifying or commercially using any website content without prior written authorization from UNIQ is strictly prohibited.

21. Permitted Use of the Website

The user agrees to use the website lawfully, appropriately and in accordance with these Terms and Conditions. Use of the website for illegal, fraudulent, offensive, automated data extraction, cyber-attacks, virus dissemination or any activity that may harm UNIQ, its clients, systems or reputation is prohibited.

22. Third-Party Links

The UNIQ website may contain links to social networks, messaging platforms, maps, payment tools or other external sites. UNIQ does not control such sites and will not be responsible for their content, availability, privacy policies, terms or any damage arising from their use.

23. Limitation of Liability for the Website

UNIQ will make reasonable efforts to keep the website available and functioning properly. However, it does not guarantee that the website will be free from errors, interruptions, viruses or technical failures. UNIQ will not be responsible for damages arising from the use or inability to use the website.

24. Force Majeure and Acts of God

UNIQ will not be responsible for delays, breaches or disruptions arising from events beyond its reasonable control, including natural phenomena, supplier failures, import delays, material shortages, acts of authority, health emergencies, force majeure or acts of God. In such cases, UNIQ may reschedule deliveries, installations or any activity related to the project.

25. Jurisdiction and Applicable Law

These Terms and Conditions will be governed and interpreted in accordance with the applicable laws of Mexico. For any dispute arising from use of the website, requests, quotes, projects, products, services or these Terms and Conditions, the parties will submit to the competent authorities and courts of Monterrey, Nuevo León, Mexico.

26. Modifications to the Terms and Conditions

UNIQ may modify these Terms and Conditions at any time. The current version will be available on the UNIQ website. Continued use of the website or contracting of projects after changes are published will imply acceptance of the updated version.
